Terms of service

These terms apply when you buy consulting services or software from Macleod Labs FZ-LLC (“Macleod Labs”, “we”), a RAKEZ free-zone company in Ras Al Khaimah, UAE (licence 47032317). A signed proposal or statement of work (SOW) takes precedence over these terms where the two differ.
What we sell §
- Consulting services: AI product rescue, codebase and architecture audits, fractional AI CTO work, and design and build of AI and software systems.
- Software products: online software we build and run (such as TeamFlow and Provely), sold as subscriptions or one-off purchases on the product’s own page.
Research prototypes shown in the portfolio are demonstrations and are not offered for sale.
Prices and payment §
- Consulting fees are agreed in writing before work starts: a fixed price, or a daily or monthly rate, stated in a proposal or SOW.
- Software prices are shown on the product’s page or checkout before you pay.
- All prices are in US dollars (USD) or UAE dirhams (AED), as stated at the point of sale, and exclude VAT unless stated otherwise. VAT is added where UAE law requires it.
- Card payments are processed by Stripe. We never see or store your full card details.
- Invoices are payable within 14 days unless the SOW says otherwise.
Delivery §
- Consulting: delivered remotely (video calls, shared repositories, written reports) on the schedule in the SOW. Deliverables are sent by email or shared repository, and the engagement starts on the start date the SOW gives.
- Software: access is sent by email, or activated in your account, immediately after payment. Nothing physical is shipped.
Subscriptions §
Subscriptions renew automatically at the end of each billing period until cancelled. You can cancel at any time from your account or by emailing steve@macleodlabs.ai. Cancellation takes effect at the end of the current period. See Refunds, cancellations and disputes.
Free trials and betas §
Any free trial or beta states its length and what happens when it ends at the time you sign up. No payment is taken until the trial ends, and we remind you before it does.
Intellectual property §
Unless the SOW says otherwise, on full payment you own the deliverables written specifically for you. We keep ownership of our pre-existing tools, libraries and products, and you get a licence to use them as part of the deliverables. Software products are licensed, not sold.
Confidentiality §
We keep your confidential information confidential and use it only to deliver the work. We will sign an NDA on request.
Liability §
Our total liability under any engagement or purchase is limited to the fees you paid for it in the 12 months before the claim. We are not liable for indirect or consequential loss. Nothing in these terms limits liability that cannot be limited by law.
Acceptable use §
You may not use our software for anything unlawful, to infringe anyone’s rights, or to attack or overload our systems.
Governing law §
These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Ras Al Khaimah. The courts of Ras Al Khaimah have jurisdiction.
